MEMORANDUM OF UNDERSTANDING

This memorandum is made on this ____th day of November 2025 between HUM Network Limited (Lead Bidder for the CEGA Project), Pakistan, and CEGA, located at Main University Road, Karachi, 75270.

1. Background

A. IGNITE National Technology Fund, a non-profit organization incorporated under the laws of Pakistan and licensed under Section 42 of the Companies Act, 2017 ("IGNITE"), has initiated a national-level project for the establishment and management of a purpose-built Center of Excellence in Gaming and Animation ("CEGA Project") to advance Pakistan's gaming and animation industry and promote innovation in the ICT sector.

B. HUM Network Limited ("HUM"), as Lead Bidder, along with its Consortium Partners possessing significant expertise and experience relevant to the Project, jointly submitted a proposal in response to the relevant Request for Proposal. HUM and its Consortium Partners are jointly implementing the CEGA Project in accordance with agreed terms and roles under the CEGA Consortium framework.

C. HUM seeks to engage with academia to promote capacity building, research, innovation, and talent development aligned with the CEGA Project's objectives.

2. Purpose

This MoU establishes a framework for collaboration between HUM and CEGA to pursue joint initiatives supporting the growth of Pakistan's gaming and animation ecosystem, including but not limited to research, training, internships, curriculum development, and innovation exchange.

3. Areas of Collaboration

The Parties may collaborate on:

  • Joint research and development programs in gaming, animation, and related technologies;
  • Student internships, faculty exchanges, and mentorship programs;
  • Co-design and delivery of academic or training modules;
  • Access to CEGA facilities for educational or research purposes;
  • Participation in CEGA-led innovation challenges, workshops, and events;
  • Knowledge sharing and academic contributions to CEGA initiatives;
  • Train the students of the academic partner in the industry vetted courses in gaming and Animations Industry.

4. Roles and Responsibilities

  • HUM shall provide coordination, visibility, and facilitation through the CEGA framework, aligning academic collaboration with project objectives.
  • CEGA shall provide access to their pool of students through their own marketing channels in order to access FREE trainings at CEGA for their student base.

5. Intellectual Property and Acknowledgment

Each Party shall retain ownership of its pre-existing intellectual property. Jointly developed materials or outputs shall be subject to mutual agreement. Any publication or acknowledgment shall properly reference the contribution of both Parties and, where applicable, the CEGA Project.

6. Confidentiality

The Parties shall maintain confidentiality regarding proprietary or sensitive information shared during collaboration.

7. Term and Termination

This MoU shall come into effect on the date of its signature and remain valid for five (5) years, unless terminated earlier by either Party upon thirty (30) days' written notice.

8. Non-Binding Understanding

This MoU is a statement of intent and does not create any legally binding obligations between the Parties, except for clauses relating to confidentiality, intellectual property acknowledgment, and use of logos or names, which shall survive termination.

9. Communication and Focal Points

Each Party shall designate a focal person to coordinate activities and communications under this MoU.

In witness whereof, the parties hereto have signed and executed the memorandum in presence of each other and in presence of witnesses from both parties.
